ICDM - Terms of Service & Community Guidelines

1.1 Acceptance of Terms

By accessing or using ICDM services, including our website, forums, asset marketplace, AI design generator, courses, and any other features, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. ICDM reserves the right to terminate your access to the platform for violations of these terms.

1.2 Eligibility

You must be at least 13 years of age to use our services. If you are under 18, you represent that you have parental consent to use our platform. Certain premium features and paid services may have additional age restrictions.

1.3 User Accounts & Security

• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.
• You must notify ICDM immediately of any unauthorized use of your account or any other breach of security.
• ICDM reserves the right to suspend or terminate accounts that are inactive for an extended period.

1.4 Subscription Plans & Payments

• ICDM offers various subscription plans with different feature sets and pricing.
• All subscription fees are due in advance and non-refundable unless otherwise specified.
• Subscriptions automatically renew until canceled. You may cancel at any time, but no refunds will be issued for the current billing period.
• ICDM reserves the right to change subscription prices upon reasonable notice. Price changes will take effect at the next billing cycle.
• You are responsible for any taxes applicable to your subscription.

1.5 Marketplace Transactions

• All sales of digital assets on the ICDM marketplace are final. No refunds will be issued except in extraordinary circumstances at ICDM's sole discretion.
• ICDM takes a commission on marketplace sales as specified in our current fee schedule.
• Sellers are responsible for ensuring they have all necessary rights to the assets they upload for sale.
• Buyers are solely responsible for how they use purchased assets and for ensuring such use complies with all applicable laws and platform terms.
• ICDM is not responsible for disputes between buyers and sellers beyond facilitating communication.

1.6 Refunds & Chargebacks

• All transactions within ICDM, including purchases of subscriptions, assets, and courses, are final and non-refundable.
• Unauthorized chargebacks or refund requests through third-party payment services will result in immediate account termination and possible legal action.
• ICDM may, at its sole discretion, issue credits or partial refunds in exceptional circumstances or for service outages.

1.7 Modification of Terms

ICDM reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services following any changes constitutes acceptance of those changes. It is your responsibility to regularly review these terms.

2.1 General Conduct

• Treat all members with respect and professionalism.
• No hate speech, discrimination, harassment, or intimidation of any kind.
• No spamming, excessive self-promotion, or disruptive behavior.
• No impersonation of other users or ICDM staff.
• No distribution of malware, phishing attempts, or other harmful content.

2.2 Forum Usage

• Post content in appropriate categories and threads.
• No necroposting (reviving very old threads without substantial contribution).
• No cross-posting the same content across multiple threads.
• Constructive criticism is welcome; targeted negativity is not.
• ICDM moderators have final authority on content appropriateness.

2.3 Content & Asset Submissions

• All assets submitted must be original or have proper usage rights. You must have explicit permission to redistribute any third-party content.
• Plagiarism, stolen assets, or unauthorized use of copyrighted material is strictly prohibited.
• ICDM partners must verify they have proper rights to all submitted content and are solely responsible for any copyright infringement.
• Submissions must not contain obscene, pornographic, or illegal content.
• Assets must be properly categorized and tagged with appropriate metadata.

2.4 AI Generator Usage

• Do not use the AI generator to create content that violates our general guidelines.
• You are responsible for all prompts you submit and the outputs you generate and use.
• ICDM reserves the right to monitor and restrict AI generator usage that appears abusive or harmful.
• AI-generated content should be properly attributed as such when shared or sold.

2.5 Course Participation

• Course materials are for personal use only and may not be redistributed without permission.
• Respect the learning environment by engaging constructively with instructors and other students.
• Academic honesty is required; do not submit others' work as your own in course assignments.

2.6 Moderation & Enforcement

• Moderators and staff reserve the right to warn, restrict, suspend, or ban members who violate guidelines.
• Content that violates these guidelines may be removed without notice.
• Users can appeal moderation decisions via the support system.
• ICDM uses both automated and human moderation systems.

3.1 ICDM Ownership

The ICDM platform, including its logo, trademarks, website design, code, databases, and proprietary tools (including the AI generator), are the exclusive property of ICDM. Unauthorized use, reproduction, modification, or distribution of these elements is prohibited.

3.2 User Content Ownership

You retain ownership of the original content you create and submit to ICDM. However, by submitting content to our platform, you grant ICDM a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your content for the purpose of operating and promoting the platform.

3.3 Asset Licensing

• Assets sold through the ICDM marketplace are subject to the specific license terms set by the seller.
• By default, unless otherwise specified, buyers receive a non-exclusive license to use purchased assets in their projects, but do not receive ownership rights.
• Reselling, redistributing, or claiming ownership of purchased assets is prohibited unless explicitly permitted by the seller's license terms.
• AI-generated content is subject to special licensing terms as specified in our AI Policy.

3.4 Copyright Infringement

ICDM respects intellectual property rights and expects all users to do the same. If you believe your work has been used on our platform in a way that constitutes copyright infringement, please submit a detailed notice to our designated copyright agent. We will respond according to our Copyright Policy and applicable laws.

4.1 Disclaimer of Warranties

THE ICDM PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

ICDM DOES NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

4.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ICDM, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
• ANY CONTENT OBTAINED FROM THE SERVICE;
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
• THE QUALITY, ACCURACY, OR LEGALITY OF ASSETS AVAILABLE THROUGH OUR MARKETPLACE;
• ANY COPYRIGHT INFRINGEMENT, INTELLECTUAL PROPERTY DISPUTES, OR LEGAL CONSEQUENCES ARISING FROM YOUR USE OF ASSETS FOUND ON ICDM.

ICDM'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS IS LIMITED TO THE AMOUNT YOU PAID TO ICDM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO ICDM.

4.3 Indemnification

You agree to defend, indemnify, and hold harmless ICDM and its licensees, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your user content or asset submissions;
• Your use of the assets or services provided through our platform;
• Any misrepresentation made by you.

4.4 Open Community Disclaimer

ICDM functions as an open platform where users can submit and share content. We do not actively pre-screen all user submissions. You acknowledge that by using ICDM, you may be exposed to content that might be inaccurate, offensive, or otherwise objectionable. ICDM is not responsible for the content posted by users.

SPECIFICALLY, ICDM ASSUMES NO RESPONSIBILITY FOR ANY COPYRIGHT INFRINGEMENT, INTELLECTUAL PROPERTY VIOLATIONS, OR OTHER LEGAL ISSUES THAT MAY ARISE FROM USER-SUBMITTED CONTENT. USERS ARE SOLELY RESPONSIBLE FOR VERIFYING THE LEGALITY AND APPROPRIATENESS OF ANY ASSETS THEY DOWNLOAD OR USE FROM OUR PLATFORM.

4.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles. Any legal action or proceeding relating to your access to or use of the ICDM platform shall be instituted in the courts of [Jurisdiction]. You agree to submit to the personal jurisdiction of such courts.

4.6 Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of ICDM shall first be attempted to be resolved through informal negotiation.
